01Mutual Confidentiality
Both parties agree not to disclose confidential information exchanged during the course of business unless:
- Authorized in writing
- Required by law
- Necessary for service delivery
Confidentiality obligations survive termination of the business relationship.
02Scope
This short-form clause is intended as a default mutual NDA where no separate non-disclosure agreement has been executed. For engagements covered by a signed NDA or Master Service Agreement, the terms of that document take precedence over this clause.
